IMPORTANT LEGAL NOTICE Anderson Cooper, in conjunction with its clients, prepares a comprehensive BUSINESS SALE MEMORANDUM OF INFORMATION for every company which we are instructed to sell. Before sending you any of these Memoranda, you are asked to agree to abide by the terms of the following Non-Disclosure Agreement: The Recipient (You) agrees: To hold in confidence the information contained in the Memorandum and any and all other infromation about the company supplied by ANDERSON COOPER LTD and/or the Vendor directly at any time. (‘Information’) To use such information only for evaluation purposes, and to limit distribution of the information to potential investors and other parties who have signed a binding confidentiality agreement with the Recipient. To return all information including documents, drawings, prototypes etc. on demand to ANDERSON COOPER LTD and not retain any copies.
This Agreement will: Terminate with the written consent of both parties or in any event after 5 years from today's date. Not apply to any of the information found to be in the public domain. Not apply to any of the information which is published or otherwise becomes part of the public domain through no fault of the Recipient. Not apply to any of the information which is already known to the Recipient. Apply equally to information relating to each and every company about which Anderson Cooper sends the Recipient information.
Statement of Good Faith In the event that any business which ACL introduces to the Recipient goes through an insolvency or other restructuring process which invalidates the agreements which ACL has in place with the business or its owners, the Recipient agrees that it will inform ACL immediately and that it will not proceed with any purchase or investment in the restructured entity or any associated entity without ACL’s express written permission which will be provided upon satisfactory arrangements being made for ACL’s remuneration.
